My optimism only continues to grow with the opportunities ahead. We are taking a disciplined approach to how we grow and evolve as an organization to strengthen customer relationships and CP’s service offering.
CP-KCS – Future For Freight | The better deal
As you are aware, on March 21, 2021, we entered into a friendly merger agreement with Kansas City Southern (KCS). Subsequently, Canadian National (CN) submitted its own proposal to combine with KCS on April 20, and on May 13, CN revised its offer and the KCS board indicated that it is prepared to accept that offer, pending a response from us.
This is far from over. Let’s review the facts.
First, we remain confident in the value of our existing proposal and that CP’s offer is superior. It is also the only viable combination as validated by two favorable rulings by the STB on our proposal. The STB approved CP’s use of a voting trust and affirmed KCS’ waiver from the new rail merger rules it adopted in 2001 signifying that the CP-KCS combination is truly end-to-end, pro-competitive and together they would remain the smallest Class 1 railway.
Second, the CN proposal is unattainable, and not in the best interests of shippers, the supply chain and the broader economy. On Friday, the Department of Justice (DOJ) filed a letter with the STB noting that “the [STB] should not permit the proposed CN voting trust because CN’s proposed acquisition of KCS appears to pose greater risks to competition than the risks posed by a CP-KCS merger.”
Then, yesterday the STB issued its decision to apply the new merger rules to the proposed CN transaction. The STB explained: “the proposed transaction poses issues that the current merger rules were designed to address, namely the potential competitive impacts of a merged entity with some degree of overlapping routes and presently existing direct competition—characteristics that would appear to pertain to the CN and KCS systems.”
It’s important to note that the new rules place a “heavier burden on merger applicants to show that a major rail combination is consistent with the public interest.”
The STB’s decision has significant implications for CN’s proposed use of a voting trust. The new merger rules require that the STB formally approve CN’s proposed use of a voting trust. Though CN had filed a motion seeking such approval, the STB rejected that motion as incomplete.
The STB also rejected as “misplaced” CN’s arguments about the legal standard governing its consideration of CN’s proposed voting trusts. Instead, the STB emphasized that the new merger rules take a “much more cautious approach” to future voting trusts and noted the agency’s “plenary authority” over consolidations.
The STB’s decision yesterday also cited DOJ’s Comment for the statement that “threats to competition would be present immediately after the CN voting trust is consummated.”
Finally, if CN renews its motion for approval, the STB will take a “more cautious approach” and evaluate all of the “potential benefits and costs” relating to CN’s proposal.
With this new ruling by the STB, our confidence in the superiority of CP’s friendly agreement with KCS is redoubled. CP+KCS is the only combination that not only serves the best interests of customers and stakeholders, but also the continent’s rail network to enable a new corridor of investment and capacity for the North American economy to grow.
Now is the time to take a stand.
Given the complexities of CN’s proposed transaction, we believe, like the DOJ, that the use of a voting trust would not be in the public interest. If you agree, you need to make your voice heard. This is a critical step because CN will be held to a higher public trust standard given the anti-competitive overlap of their proposal and the expectation the STB will require a public comment period.
In the event that CN is permitted to close KCS into trust – and ultimately be required to divest KCS – the consequences would be entirely unpredictable and potentially disastrous. That concern could affect how the STB applies the new merger rules to CN’s propose KCS takeover.
Moreover, we remain concerned about the consequences of leaving ownership of KCS shares in the hands of CN during the lengthy pendency of the Board’s review given the existing competition between the two companies.
Closing into trust could have very serious and irreparable effects on competition during what is bound to be a lengthy trust period – with shippers ultimately paying the price.
